User Agreement for the ApolloMedSkills NEET Test Prep Platform

1. Introduction and Acceptance of Terms

Welcome to the NEET Test Prep Platform, operated by the Company ("Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office at Hyderabad, Telangana, India. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and the Company governing your access to and use of the Platform.

By creating an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms are drafted in compliance with the Information Technology Act, 2000; the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021; the Consumer Protection Act, 2019; the Indian Contract Act, 1872; and the Digital Personal Data Protection Act, 2023 ("DPDP Act").

2. Definitions

In these Terms, the following definitions shall apply:

  • "Platform" means the website, mobile application, and any related digital services, tools, or features including AI-powered features.
  • "Content" means all text, videos, audio, mock tests, practice questions, study materials, assessments, AI-generated responses, and any other materials available on the Platform.
  • "Subscription" means a paid plan granting access to specific features of the Platform for a defined period.
  • "User Account" means the registered account created by a User to access the Platform.
  • "NEET" means the National Eligibility cum Entrance Test conducted by the National Testing Agency (NTA), India.
  • "AI Features" means artificial intelligence or machine learning-based tools embedded in the Platform, including doubt resolution engines, performance analytics, adaptive question banks, and AI-generated study recommendations.
  • "Personal Data" has the meaning assigned under the Digital Personal Data Protection Act, 2023.

3. Eligibility and Account Registration

3.1 Eligibility

The Platform is intended for students preparing for NEET examinations, typically individuals aged 15 years and above. If you are below 18 years of age, you must use the Platform only with the consent and under the supervision of a parent or legal guardian, who shall be responsible for compliance with these Terms.

3.2 Account Creation

To access most features of the Platform, you must register an account by providing accurate, complete, and current information including your name, email address, mobile number, and other required details. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

You agree to immediately notify our support team of any unauthorised use of your account or any security breach. We shall not be liable for any loss arising from your failure to safeguard your login credentials.

3.3 One Account Per User

Each User is permitted to maintain only one active account. Creating multiple accounts to circumvent subscription restrictions, exploit promotional offers, or for any other purpose is prohibited and may result in immediate account suspension.

3.4 Account Verification

We reserve the right to verify your identity and the accuracy of information provided during registration. Submission of false or misleading information may result in immediate termination of your account without refund.

4. Platform Services and Content

4.1 Nature of Services

The NEET Test Prep Platform provides the following services, which are delivered exclusively through digital means:

  • Online mock tests and practice question banks for NEET (UG/PG) preparation.
  • Chapter-wise and subject-wise assessments in Physics, Chemistry, and Biology.
  • Performance analytics, rank predictors, and personalised improvement insights.
  • AI-powered doubt resolution and study assistance features.
  • Video lectures, PDF notes, and curated study materials.
  • Live and recorded sessions with subject matter experts.
  • All-India Test Series (AITS) with comparative analytics.

4.2 Content Accuracy

While we make every effort to ensure that the Content on the Platform is accurate, current, and relevant to the NEET syllabus, we do not warrant that all Content is free from errors. Users should independently verify critical information with official NEET notifications and authoritative educational sources.

4.3 AI Features

The Platform includes AI-powered features to enhance your learning experience. You acknowledge that:

  • AI-generated responses are for educational guidance only and do not constitute professional medical or academic advice.
  • AI Features may occasionally produce inaccurate results; users should exercise independent judgment.
  • Your personal data is NOT used to explicitly train AI/ML models or to deliver third-party personalised advertising services. Refer to our Privacy Policy for details.
  • The use of AI Features is subject to fair usage norms and may be throttled or limited based on subscription tier.

Data Usage for Internal Analytics: While personal data is not used to train AI models in identifiable form, the Company may use anonymised and aggregated data for internal analytics, product development, and service improvement.

5. Subscriptions and Payment

5.1 Subscription Plans

Access to premium Content and features requires a valid Subscription. Subscription plans are described on the Platform's Pricing page and are subject to the Pricing Policy. Free-tier access, where offered, is governed by additional restrictions detailed on the Platform.

5.2 Payment Obligations

By purchasing a Subscription, you authorise us to charge the applicable fees (inclusive of applicable GST) to your chosen payment method. All payments are processed through PCI-DSS compliant third-party payment gateways. We do not store your payment card details on our servers.

5.3 Auto-Renewal

Subscription plans marked as "auto-renewing" will be automatically renewed at the end of each billing cycle unless you cancel before the renewal date. You will receive a reminder notification prior to renewal. By enabling auto-renewal, you authorise recurring charges.

5.4 Taxes

All prices are exclusive of Goods and Services Tax (GST) unless stated otherwise. GST at the applicable rate will be added to the displayed price at checkout. A valid GST invoice will be issued electronically upon successful payment.

6. Intellectual Property Rights

6.1 Ownership

All Content, trademarks, logos, graphics, software, AI models, question banks, and other intellectual property on the Platform ("Platform IP") are the exclusive property of the Company or its licensors and are protected under the Copyright Act, 1957; the Trade Marks Act, 1999; and other applicable Indian and international IP laws.

6.2 Limited Licence to User

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial educational purposes in accordance with these Terms. This licence does not include any right to:

  • Download, reproduce, copy, or distribute Platform IP without our prior written consent.
  • Use any data mining, scraping, bots, or similar automated extraction tools on the Platform.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
  • Use the Platform or its Content for commercial purposes, coaching centre usage, or re-distribution.

6.3 User-Generated Content

If you submit any content on the Platform (including forum posts, feedback, or doubt queries), you grant us a non-exclusive, royalty-free, worldwide licence to use, store, and process such content for the purpose of operating and improving the Platform, subject to our Privacy Policy. You represent that you own or have the necessary rights to such content and that it does not infringe any third-party rights.

7. Prohibited Conduct

You agree not to engage in any of the following:

  • Sharing, redistributing, or commercially exploiting any Content from the Platform.
  • Sharing your account credentials or Subscription access with any third party.
  • Using the Platform to transmit harmful, abusive, obscene, or unlawful content.
  • Attempting to gain unauthorised access to any part of the Platform, other accounts, or our systems.
  • Engaging in screen recording, video capture, or any other method of copying test content or materials.
  • Impersonating any person, entity, or the Company.
  • Circumventing or attempting to circumvent any security, access control, or DRM protection on the Platform.
  • Engaging in academic dishonesty, including impersonating others in assessments.
  • Using AI tools or automation to complete tests, assessments, or practice sessions on your behalf.
  • Violating any applicable law, including Indian law and regulations.

Violation of any of the above may result in immediate account suspension or termination, without refund, and may expose you to legal proceedings.

7.1 Platform Monitoring and Audit Rights

The Company reserves the right to monitor usage patterns, login activity, IP addresses, and device access to detect misuse, account sharing, or suspicious activity. The Company may suspend or restrict access pending investigation, without prior notice.

7.2 Liquidated Damages for Unauthorised Sharing

In the event of unauthorised account sharing or commercial exploitation of the Platform, the Company reserves the right to levy liquidated damages up to INR 50,000 per incident or the equivalent commercial value of the misuse, whichever is higher, without prejudice to other legal remedies.

8. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or resources. We do not endorse, control, or assume responsibility for any third-party content, services, or privacy practices. Access to third-party services is at your own risk and subject to their respective terms and privacy policies.

9. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the Platform will be uninterrupted, error-free, or free of viruses.
  • Any warranty regarding the accuracy, completeness, or timeliness of Content.

Nothing in these Terms shall exclude liability for fraud, personal injury caused by negligence, or any liability that cannot be excluded under applicable Indian law.

The Company does not guarantee any specific academic outcome, rank, score, or success in NEET examinations. Performance depends on individual effort, aptitude, and external factors beyond the Company's control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

In any event, our total cumulative liability to you for all claims arising from or related to the Platform shall not exceed the total Subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform in violation of these Terms; (b) your violation of any third-party rights; (c) your breach of any representations or warranties herein; or (d) your violation of any applicable law.

12. Modification of Terms and Platform

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 7 days before the changes take effect. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.

We may also modify, suspend, or discontinue any part of the Platform at our discretion. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

13. Termination

13.1 By You

You may terminate your account at any time by contacting our support team through the Platform. Termination of your account does not entitle you to a refund except as provided under our Cancellation and Refund Policy.

13.2 By Us

We may suspend or permanently terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to access the Platform ceases immediately and we may delete your account data subject to applicable law and our Privacy Policy.

13.3 Suspension Without Refund During Investigation

The Company does not guarantee any specific academic outcome, rank, score, or success in NEET examinations. Performance depends on individual effort, aptitude, and external factors beyond the Company's control.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. The courts of Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes arising from or related to these Terms and the Platform.

14.2 Dispute Resolution

In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiations within thirty (30) days of the aggrieved party notifying the other in writing. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, at Hyderabad, Telangana, by a sole arbitrator mutually agreed upon by the parties.

Notwithstanding the foregoing, either party may seek urgent injunctive or equitable relief in a court of competent jurisdiction.

15. Consumer Rights

Nothing in these Terms shall limit or exclude the rights available to consumers under the Consumer Protection Act, 2019, or any other applicable Indian consumer protection legislation. If you believe your consumer rights have been violated, you may raise a complaint on the National Consumer Helpline (NCH) or approach the relevant consumer forum.

16. Survival Clause

Clauses relating to Intellectual Property, Limitation of Liability, Indemnity, and Dispute Resolution shall survive termination of this Agreement.

17. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines) Rules, 2021, we have appointed a Grievance Officer to address complaints and grievances relating to the Platform:

The Grievance Officer shall acknowledge your complaint within 24 hours and endeavour to resolve it within 15 days of receipt.

18. Miscellaneous

  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement: These Terms, together with the Privacy Policy, Cancellation and Refund Policy, and Pricing Policy, constitute the entire agreement between you and us with respect to the Platform.
  • Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to any successor entity.
  • Language: These Terms are drafted in English. In the event of any inconsistency between an English version and any translated version, the English version shall prevail.

18.1 Class Action Waiver

Users agree that any disputes shall be resolved on an individual basis and waive any right to participate in class actions or representative proceedings.
